The firm has represented an array of top-tier developers beginning at the assemblage phase through entitlements, land acquisition, construction, financing, and closeout. Following is a sample of some of the past and present real estate development projects for which the firm has provided legal representation.

  • Developer representation including assemblage negotiation, preparation of purchase contracts, due

    diligence work, land acquisition closing, negotiation and drafting of the general contractor contract, and

    negotiated and closed on a $19M construction loan with Bance de Credito e Inversiones, Miami Branch.

    Coordinated and assisted with the preparation of the Declaration of Condominium for the project.

    Coordinated and managed the Contract Administrator, prepared seller’s closing documents and

    provided seller/developer legal representation at closing of 128 luxury condominium units.

  • Developer representation including assemblage negotiation, preparation of purchase contracts, due

    diligence work, land acquisition closing, negotiation and drafting of the general contractor contract, and

    negotiated and closed on a $64.4M construction loan with Banco de Credito e Inversions, Miami Branch,

    and a $12M second mortgage from Banco de Credito e Inversiones, S.A.

  • Developer representation including assemblage negotiations with current owners and tenants,

    preparation of multiple purchase contracts, and land acquisition due diligence work. Negotiation and

    preparation of joint venture documentation between ALTA Developers and Greystone, a New York

    based real estate development company. Subsequently, purchase representation of one of the joint

    venture partners for acquisition of the completed project. Negotiation and drafting of purchase

    contract, negotiation with lender for the financing of the purchase with Invesco CMI Investments, L.P.

    Acquisition closing in the amount of $56.2M, and lender financing in the amount of $40M. Within 2

    years of project acquisition, represented the owner in refinancing with Doubleline Mortgage

    Opportunities in the amount of $30M. Responsible for the negotiation and loan closing with Doubleline.

  • Developer representation including assemblage negotiation, preparation of multi-parcel purchase

    contracts, due diligence work, land acquisition closing in the amount of $11.2M, and financing closing in

    the amount of $4.72M City National Bank of Florida. Represented ALTA Development in the negotiation

    and drafting of the joint venture and consultant agreements with Maestra Chile.

  • Developer representation including assemblage negotiation, preparation of purchase contracts, due

    diligence work, land acquisition closing in the amount of $13.75M from Blackrock Group. Represented

    developer in the negotiation, drafting and closing of a construction loan in the amount of $43.1M with

    Pacific Western Bank.

  • Developer representation including assemblage negotiation, preparation of multi-parcel purchase

    contracts, due diligence work, land acquisition closing in the amount of $4.1M from various sellers.

    Represented developer in the negotiation, drafting and closing of an acquisition loan in the amount of

    $6.5M with Biscayne Bank.

  • EON Squared Phase I

    Developer representation including assemblage negotiation, preparation of multi-parcel purchase

    contracts, due diligence work, land acquisition closing in the amount of $14.4M from various sellers.

    Represented developer in the negotiation, drafting and closing of a construction loan in the amount of

    $38.49M with Bank of the Ozarks. Subsequently, represented the borrower/developer in refinancing

    the construction loan to a permanent loan, including negotiation and drafting of loan documents and

    closing with Mack Real Estate Credit Strategies, L.P. in the amount of $67.5M. The refinance transaction

    included the construction loan for the construction of Phase II of EON Squared.

    EON Squared Phase II

    Developer representation including assemblage negotiation, preparation of multi-parcel purchase

    contracts, due diligence work, land acquisition closing in the amount of $14.4M from various sellers, and

    an acquisition loan in the amount of $4.35M loan from Professional Bank, N.A. Represented

    developer/borrower in the negotiation, drafting and closing of a construction loan in the amount of

    $67.5M, including negotiation and drafting of loan documents and closing with Mack Real Estate Credit

    Strategies, L.P. The Mack Real Estate loan included the refinance of the construction loan for Phase I of

    EON Squared.
